1. Definitions
- "Company" refers to Providence & Co, Company No. S0612025060707, registered in Guangzhou, China.
- "Client" refers to the individual or business engaging our services.
- "Services" refers to sourcing, factory audits, quality inspections, procurement management, supplier verification, and logistics coordination provided by the Company.
- "Supplier" refers to any factory, manufacturer, or vendor introduced or engaged through the Company.
- "Order" refers to a Client's confirmed request for products or services.
- "Report" refers to any inspection, audit, or verification document issued by the Company.
2. Service Description
Providence & Co acts as a sourcing agent, not a manufacturer or seller of goods. We facilitate introductions, inspections, and logistics on behalf of the Client. We do not guarantee supplier performance beyond our inspection scope. The Company is not a party to any contract between the Client and a Supplier.
3. Client Obligations
The Client agrees to:
- Provide accurate product specifications, drawings, and requirements.
- Give timely feedback on quotations, samples, and inspection reports.
- Make payment per the agreed terms.
- Be responsible for import compliance in their destination country, including customs classification, labelling, certification, and product safety requirements.
4. Quotes & Pricing
Quotes are valid for 30 days unless stated otherwise. Pricing excludes: customs duties, taxes, destination port fees, and unforeseen supplier price changes. The Company will notify the Client in writing of any material price change before work proceeds.
5. Payment Terms
- Inspection services — 100% upfront.
- Sourcing / procurement management — 50% deposit, 50% before shipping.
- Currency — USD unless agreed otherwise.
- Late payments may incur a service pause and are subject to the limitations set out in these Terms.
6. Inspection Standards
Inspections are conducted per AQL (Acceptable Quality Limit) sampling standards. Reports are photographic and written. Inspection does not guarantee future production quality. The Company is not liable for defects or variations in subsequent production runs that were not present at the time of inspection.
7. Limitation of Liability
The Company's maximum liability for any claim is limited to the fee paid for the specific service giving rise to the claim. The Company is not liable for:
- Supplier bankruptcy or financial failure.
- Shipping delays by carriers.
- Customs seizures or regulatory holds.
- Consequential, indirect, or loss-of-profit damages.
8. Force Majeure
Neither party is liable for failures or delays due to: war, natural disaster, pandemic, government action, shipping lane closures, or supplier shutdown. The affected party will notify the other in writing and use reasonable efforts to resume performance once the event ends.
9. Confidentiality
Both parties agree to keep proprietary product designs, pricing, and supplier identities confidential. This obligation survives termination of the engagement and applies for 3 years thereafter.
10. Intellectual Property
The Client retains all intellectual property in product designs provided to the Company. Providence & Co retains all intellectual property in our processes, reports, methodologies, and templates. Neither party may use the other's intellectual property without written consent.
11. Termination
Either party may terminate the engagement with 14 days' written notice. Fees for completed work are non-refundable. On termination, the Client remains responsible for any outstanding fees for services performed up to the termination date.
12. Governing Law & Disputes
These terms are governed by the laws of the People's Republic of China. Disputes shall first be attempted to be resolved through mediation. If mediation fails, disputes shall be subject to the jurisdiction of the courts of Guangzhou, China.
13. Changes to Terms
We may update these terms. Continued use of our services constitutes acceptance of the updated terms. We will update the “Last updated” date at the top of this page when changes are made.
